2025-2026 Hong Kong IPO market fraud
2025-2026 Hong Kong IPO market fraud refers to a range of fraudulent and manipulative practices associated with the launches of initial public offerings (IPOs) on the Hong Kong Stock Exchange, including artificial inflation of demand, diversion of proceeds, false or misleading disclosures, and related corruption. These issues have led to repeated enforcement actions by the Securities and Futures Commission (SFC) and the Independent Commission Against Corruption (ICAC). Media coverage has increased as Hong Kong’s IPO market recovered strongly in the mid-2020s, with fundraising reaching record levels, partly due to listings by mainland Chinese companies.
Investigations
In 2025–2026, the SFC acted against two suspected syndicates over alleged IPO fraud involving three companies: Sichuan Baicha Baidao Industrial Co., Ltd. (operator of the ChaPanda bubble-tea chain, listed 2024), Cloudbreak Pharma Inc. (listed 2025), and Tianju Dihe (Suzhou) Technology Co., Ltd. (listed 2024).
The SFC froze up to HK$4.66 billion in assets and suspended Baicha shares over concerns that its IPO demand may have been manipulated. The schemes allegedly involved using IPO funds for financial investments that could channel money back to major shareholders or related parties.
In 2025, the ICAC charged individuals over alleged misleading financial reports and hidden investor identities in Huarchi Global Group’s 2019 IPO.
Modus operandi
Reported schemes have included:
- Giving kickbacks to selected investors to create artificial demand for an IPO.
- Secret agreements after listing to influence market value and trading volume.
- Diverting IPO funds into other financial products, benefiting members of the underwriting group or their associates.
- Failures by brokerage houses to conduct proper checks for accuracy and quality of listing documents.
Regulatory responses
The SFC paused dozens of IPO applications over concerns about business credibility and sponsor work quality. Later, issued warnings about suspicious fund flows and hidden investor identities, and imposed trading restrictions and suspensions.
